The position serves as a key member of the legal team supporting its finance and business development functions.  S/he will leverage substantive knowledge, work ethic and team-orientation to drive projects to completion in a fast-paced, dynamic organization positioned for significant organic and M&A-driven growth.  This position reports directly to Adtalem’s Associate General Counsel – Corporate & Securities and supports all of Adtalem’s corporate and business development needs.  The Senior Counsel will frequently interact with, support and advise Adtalem leadership, including the CEO, CFO, Controller, and Business Unit leaders, and Adtalem’s board of directors.


  • Serves as key-member of, and strategic advisor to, Adtalem’s business development and corporate finance teams
  • Supports all phases of buy and sell-side M&A, joint venture, and investment activity in a portfolio-driven organization
  • Drafts and negotiates NDAs, term sheets, and definitive transaction agreements
  • Directs and manages Adtalem-wide M&A due diligence and integration planning, and advises management regarding findings and implications for the transaction and its execution
  • Negotiates and prepares definitive transaction agreements, and coordinates closing and integration activities.
  • Selects and manages use of outside counsel, including transaction budgeting
  • Researches market-entry options, transaction structures, and required resources

  • J. D. from an accredited law school.
  • Must be in good standing with the Illinois State bar.
  • 4-6 years prior experience as an attorney practicing in a top-rated law firm and/or corporate in-house legal experience supporting corporate & securities legal matters, with a focus on M&A.
  • Exemplary analytical, organizational, interpersonal and leadership skills.
  • International experience and/or Spanish or Portuguese language fluency, a plus
